Terms of Service

These Terms of Service ("Terms") govern your access to and use of ScaleDM ("ScaleDM," "we," "us," or "our"), including the website at scaledm.io and the ScaleDM ChatGPT connector (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ScaleDM is a connector that lets you link an Instagram professional account to ChatGPT and retrieve permitted Instagram data through Meta's official Instagram Graph API. The Service is provided through ChatGPT and related platforms; we do not operate a standalone password-based login for Instagram.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and authorized to connect the Instagram account you link. You must comply with Instagram's Terms of Use, Meta Platform Terms, OpenAI's terms, and all applicable laws.

3. Account connection

You connect Instagram via official OAuth (Instagram Login). You are responsible for maintaining control of your Instagram account and for all activity that occurs after you authorize ScaleDM. You must not share credentials with us — we do not request or store Instagram passwords.

You may revoke access at any time through Instagram account settings or by contacting support@scaledm.io.

5. Third-party platforms

The Service depends on Instagram (Meta), ChatGPT (OpenAI), and other third parties. We do not control and are not responsible for their availability, policies, pricing, or actions. Outages or policy changes on those platforms may affect the Service without notice.

6. No fees (current version)

ScaleDM may be offered without charge during early access. We reserve the right to introduce fees in the future with notice where required. Third-party platforms (e.g., ChatGPT subscriptions) may charge separately.

7. Intellectual property

ScaleDM and its branding, code, and documentation are owned by us or our licensors. Instagram content remains yours or Meta's as applicable. You grant us a limited license to process your data solely to provide the Service.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, accurate, or secure. Instagram metrics and API data are provided by Meta and may be delayed, incomplete, or changed without notice.

We are not affiliated with, endorsed by, or sponsored by Meta, Instagram, or OpenAI except as required to operate an approved integration.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALEDM AND ITS OPERATORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE CLAIM.

We are not liable for Instagram account restrictions, bans, shadowbans, or other enforcement actions by Meta resulting from your use of Instagram or this Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless ScaleDM and its operators from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Instagram account, your violation of these Terms, or your violation of any third-party rights or platform policies.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law or a platform partner, or if we discontinue the Service. Sections that by nature should survive (disclaimers, limitation of liability, indemnification, dispute resolution) will survive termination.

12. Dispute resolution

Before filing a claim, you agree to contact us at support@scaledm.io and attempt to resolve the dispute informally for at least 30 days. If unresolved, disputes shall be resolved by binding arbitration on an individual basis, except that either party may seek injunctive relief in court for intellectual property or unauthorized access. You waive any right to participate in a class action.

13. Governing law

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles, except where mandatory local consumer protections apply.

14. Changes

We may modify these Terms at any time. We will update the effective date above. Material changes may be communicated via the website or email where appropriate. Continued use after changes constitutes acceptance.
