These Terms of Service ("Terms") govern your access to and use of ScaleDM ("ScaleDM," "we," "our," or "us"), including our website at https://scaledm.io, our API, and our Instagram automation infrastructure (the "Service").

By connecting your Instagram account or using the Service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not access or use ScaleDM.

1. The Service & Core Capabilities

ScaleDM provides software tools that interface with Meta's official Instagram Graph API and Instagram Messaging API. Key features include:

  • Comment-to-DM Automation: Triggering automated direct messages and optional public comment replies based on comments left on your posts or Reels.
  • Ask-for-Follow Gating: Checking whether a user follows your profile before delivering download links, discount codes, or gated resources.
  • Ask-for-Contact Lead Capture: Requesting and validating contact information (e.g., email addresses or phone numbers) directly in Instagram Direct Messages, and transmitting that data to your designated webhook or CRM.
  • AI Agent Connector: Providing standardized API and Model Context Protocol (MCP) server endpoints allowing autonomous AI agents to participate in conversations.

2. Account Authorization & Eligibility

To use ScaleDM, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Hold authorized administrative access to the Instagram Professional (Business or Creator) account and associated Facebook Page you connect.
  • Connect exclusively through Meta's official OAuth 2.0 flow. You must never attempt to supply passwords or bypass official authorization.

3. Acceptable Use & Anti-Spam Standards

You agree to use ScaleDM responsibly and in strict compliance with:

  • Meta Platform Terms & Instagram Community Guidelines.
  • All applicable consumer protection, privacy, and anti-spam laws (including CAN-SPAM, TCPA, and GDPR).

You strictly agree NOT to:

  • Send unsolicited bulk spam, fraudulent schemes, or deceptive links via automated DMs.
  • Harass, intimidate, or threaten users through automated messaging.
  • Attempt to reverse-engineer, exploit, or bypass Meta API rate limits or ScaleDM security controls.
  • Collect sensitive personal information (such as financial account numbers or government IDs) through chat flows.

ScaleDM reserves the right to immediately suspend or terminate any account that violates these standards.

4. Autonomous AI Agent Conduct & Guardrails

When deploying an AI agent through ScaleDM's MCP server or webhooks:

  • Customer Ownership: You retain full responsibility for the prompts, instructions, knowledge bases, and tools provided to your AI agents.
  • Output Liability: You acknowledge that generative AI models may occasionally produce unexpected or inaccurate answers. You agree to test your agent thoroughly and maintain appropriate guardrails and human escalation capabilities.
  • ScaleDM provides the transmission infrastructure and is not responsible for business representations, warranties, or commitments made by your automated agents.

5. Lead Collection & Consent

When using the "Ask-for-Contact" feature to collect emails or phone numbers, you represent and warrant that you provide adequate notice and obtain all necessary consents from end users before sending follow-up marketing communications, in compliance with applicable law.

6. Third-Party Platform Availability (Meta / Instagram)

ScaleDM operates on top of Meta's Instagram Graph API. We do not control Meta Platforms, Inc. While we architect our service for 99.9% uptime, ScaleDM is not liable for temporary service interruptions, API rate limits, or policy updates imposed directly by Meta.

7. Intellectual Property

ScaleDM, its logos, software code, user interface, and branding are the intellectual property of ScaleDM. You retain all rights to your own trademarks, posts, media assets, and customer lead data.

8. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALEDM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED. SCALEDM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE OR BUSINESS INTERRUPTION.

9. Termination

You may discontinue using ScaleDM at any time by disconnecting your account in Instagram Settings or by emailing support@scaledm.io. We reserve the right to suspend or terminate accounts that breach these Terms or create legal liability for our platform.
